The Problem With Patchwork Contracts

  • icon11

Every client or vendor agreement is different, often edited from outdated or mismatched templates.

  • icon8

You regularly sign contracts drafted by the other side, with little time or context to negotiate.

  • icon3

Important terms—scope, payment, changes, termination, non-competes/non-solicitation—aren’t handled consistently

  • icon3-1

Different owners or team members send out different versions of “the contract.”

No one is quite sure what happens if a project goes wrong or a relationship ends.

What We Mean by “Legal Infrastructure”

By legal infrastructure, we mean the combination of your entity, your core contracts, and your governance practices, the tools that quietly protect you every day in the background, not just when you’re in a dispute.

Core Contract Work We Do

  • icon21

Client and service agreements – clear, usable contracts for how you deliver your products or services.

  • document_paperclip_list_paper_icon_219544

Statements of Work (SOW) or project addenda – so you don’t have to redraft the main agreement every time.

  • construction_project_plan_building_architect_design_develop-70_icon-icons.com_60222

Vendor and supplier agreements – matching your risk tolerance and cash flow reality.

  • icon24

NDAs and confidentialitay agreements – appropriate to your industry and relationships.

  • icon16

Referral and collaboration agreements – particularly relevant to professional services and family-owned businesses.

Review and negotiation of incoming contracts – focusing on the key terms that actually matter to your risk and leverage.

Three-Contract Risk Scan

As part of a Contract System Strategy Session, we perform a focused Three-Contract Risk Scan, so you have a clear picture of where your existing agreements are helping you and where they’re putting you at risk.

  • Review of up to three key contracts (for example, main client agreement, vendor agreement, lease, or a contract you’ve been asked to sign)
  • Written summary of major risks and negotiation points, in plain English
  • Short follow-up call to walk through the findings
  • Recommendations on whether and how to move toward a more consistent contract system

Standard Contract System for Owner-Operated Businesses

For many businesses, it makes more sense to invest once in a coherent contract set that matches how you actually do business, rather than tweaking random documents for years.

What’s typically included:

  • Initial conversation about your services, pricing models, and how you onboard clients and vendors
  • Drafting a core client/service agreement tailored to your workflow
  • Creating an SOW or project template that plugs into the main agreement
  • Drafting or updating vendor terms, NDAs, and referral/collaboration agreements as needed
  • A short “how to use these contracts” guide in plain English for you and your team

How We Work on Contract Matters

For contract and legal infrastructure projects, we use the same three-step process we follow with other business clients, tailored to your agreements and how your business actually runs.

1

Legal Health Check & Business Legal Triage Call

We start with a short online Legal Health Check. For contract work, this focuses on how you’re currently handling agreements—what you send out, what you’re being asked to sign, and where you’ve seen problems, delays, or surprises.

Once you submit your answers, you’ll be able to schedule a 20-minute triage call.

On that call, we:

  • Confirm that your contract needs are a good fit for the firm.
  • Clarify whether you’re dealing with a specific contract, a recurring pattern, or the need for a true “system.”
  • Recommend whether your best next step is a Contract System Strategy Session (which includes a focused Three-Contract Risk Scan) or a defined contract project.

We do not review documents or give legal advice on this call. It’s focused on fit, expectations, and next steps.

Fee: Your initial investment for this triage call is $150. If we decide to work together on the next step, we will credit this amount toward your Contract System Strategy Session or a flat-fee project.

Contract System Strategy Session

If we need to go deeper, the next step is a Contract System Strategy Session, a focused strategy meeting devoted to your contracts and legal infrastructure. As part of this session, we conduct a Three-Contract Risk Scan:

  • We walk through your Legal Health Check in more detail.
  • We take a closer look at up to three of your contracts and templates that matter most to your business.
  • We explain the significant risks, friction points, and options in plain English, with a prioritized plan for clean-up or system-building.

From there, we can recommend whether a Standard Contract System, a targeted update of specific documents, or another defined project makes the most sense for your situation.

Fee: The Strategy Session is billed as a flat fee. Most sessions fall within the $1,500–$2,500 range, depending on the scope of the issues and preparation involved.

Flat-Fee Projects & Ongoing Support

Once you’re comfortable with the plan, we move into implementation on a flat-fee basis wherever possible. For contract matters, this may include:

  • A Standard Contract System so your client, vendor, and referral contracts actually work together.
  • A focused update or redraft of specific agreements or templates.
  • Additional incoming contract review and negotiation for key deals.

Each project is scoped in writing and approved by you before we begin, so you know what’s included and what it will cost. Wherever we can, we:

  • Use flat fees for clearly defined projects.
  • Set clear scopes so you know when new work will be quoted.
  • Focus on the issues that pose real risk to your revenue, reputation, and control.
  • Coordinate with your CPA or other advisors when contract terms tie into broader planning.

Contract & Legal Infrastructure FAQs

Can you just review one contract?

Yes. For a single key agreement, we can often offer a flat-fee review and markup, or address it as part of the Three-Contract Risk Scan in a Contract System Strategy Session. If we see recurring patterns, we’ll let you know when it might be time to consider a Standard Contract System.

Do you have industry-specific templates?

We start from strong foundations, but every contract set is tailored to your business model, risk tolerance, and industry. We don’t believe in blindly recycling generic contracts because they put you at risk, and often you don’t even realize there are potential risks

Can you help with contracts for both equine and non-equine businesses?

Yes. We work with a mix of equine and non-equine owner-operated businesses. For equine operations, we also draw on our Equine Law experience to address industry-specific issues, such as liability releases and horse-related risks. Link to this page https://www.blueribbonlaw.com/equine-law-overview
